These Terms of Service ("Terms") govern your use of the platform provided by Brunel Momentum Inc. ("Brunel Momentum", "we", "us"). By creating a merchant account or connecting a storefront you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.
1. What Brunel Momentum provides
Brunel Momentum is a last-mile delivery service. Merchants send us orders via API integration (Shopify, WooCommerce, or manual upload) and we handle pickup from your location, sortation, and delivery to your customer, with tracking and proof of delivery.
2. Merchant obligations
- Provide accurate business, pickup, and contact information at signup and keep it current.
- Only ship packages that are legal in the origin and destination jurisdiction and comply with our acceptable-use policy.
- Have the legal right to share customer personal data (name, email, phone, address) with Brunel Momentum for the purpose of delivery.
- Pay invoices when due. Overdue accounts may be paused per Section 5.
3. Coverage + service levels
Coverage areas + service-level windows are shown in your merchant portal and may change with advance notice. Brunel Momentum uses commercially reasonable efforts to meet posted delivery windows but does not guarantee delivery within a specific hour except where a paid time-guaranteed product is offered.
4. Billing
Delivery is priced per package based on box profile and origin/destination zone. Invoices are issued periodically and processed via Helcim (Pre-Authorized Debit). Disputes must be raised within 30 days of the invoice date.
5. Suspension + termination
We may suspend account access if payment fails, if we reasonably suspect a violation of these Terms, or if required by law. Either party may terminate the agreement with 30 days’ written notice. On termination, in-flight shipments are completed; data retention follows the Privacy Policy.
6. Data protection addendum (DPA)
Where Brunel Momentum processes personal data of your customers on your behalf (name, email, phone, delivery address), we act as a data processor and you act as the data controller. Details:
- Purpose of processing: exclusively to route, deliver, and communicate about the shipment.
- Categories of data: name, email, phone, shipping address, order metadata.
- Duration of processing: 90 days after delivery completion, then automatic redaction of personal identifiers. Aggregate metrics retained longer for operations.
- Sub-processors: AWS, Mapbox, SendGrid, Twilio, Helcim — each bound by their own data protection commitments. See the Privacy Policy for the current list.
- Deletion + export requests: we honor GDPR / CCPA-scoped requests forwarded via Shopify’s
customers/data_requestandcustomers/redactwebhooks within 30 days, and purge shop-scoped data within 48 hours of receivingshop/redact. - Security: TLS 1.2+ in transit, AWS KMS encryption at rest, role-based access, incident response with 72-hour notification to affected merchants.
7. Confidentiality
Each party will protect the other’s non-public information using reasonable care and only use it to perform under these Terms.
8. Limitation of liability
To the maximum extent permitted by law, Brunel Momentum is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for any claim is limited to the fees you paid to Brunel Momentum in the twelve months preceding the claim.
9. Governing law
These Terms are governed by the laws of the Province of Ontario, Canada. Any dispute will be resolved in the courts of Toronto, Ontario.
10. Changes to these Terms
Material changes will be announced by email to merchant account owners at least 30 days before they take effect. Continued use after that date constitutes acceptance.
